Terms of Service & Disclaimer

By accessing or using Atlas (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

a. Ownership: All intellectual property rights in and to Atlas, including its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof), are owned by Savvy Strategic Solutions/Atlas, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

b. Proprietary Methodologies and Processes: You acknowledge and agree that the unique methodologies, algorithms, processes, underlying artificial intelligence models, decision-making frameworks, information organization structures, and other proprietary technology that constitute or are embodied in Atlas are valuable trade secrets and confidential information of Savvy Strategic Solutions/Atlas.

c. Restrictions: These Terms permit you to use the Service solely for your internal, personal, or organizational decision-making purposes, as intended. You must not:

• i. Reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Service, except as features are explicitly provided by Atlas for your use.
• ii. Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or underlying components of Atlas.
• iii. Use any robots, spiders, or other automatic device, process, or means to access the Service for any purpose, including monitoring or copying any of the material on the Service.
• iv. Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
• v. Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service, the server on which the Service is stored, or any server, computer, or database connected to the Service.
• vi. Employ any method, process, or means to extract, collect, or scrape data, information, methodologies, or intellectual property from Atlas for commercial or competitive purposes.
• vii. Use the Service for any unauthorized commercial solicitation, political campaigning, or any purpose that is unlawful or prohibited by these Terms.
• d. Trademarks: The Atlas name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Savvy Strategic Solutions/Atlas or its affiliates or licensors. You must not use such marks without the prior written permission of Savvy Strategic Solutions/Atlas.

a. Ownership: You retain all rights in and to the content and data you submit, post, or display on or through the Service ("User Contributions").

b. License to Atlas: By providing any User Contribution on the Service, you grant us a non-exclusive, royalty-free, worldwide, fully paid, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, and publicly display such User Contributions solely for the purpose of operating, improving, and providing the Service to you and other users, and as necessary to comply with legal obligations.

c. No Obligation to Retain: We are not obligated to back up, retain, or provide you with copies of any User Contributions.

a. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER SAVVY STRATEGIC SOLUTIONS/ATLAS NOR ANY PERSON ASSOCIATED WITH SAVVY STRATEGIC SOLUTIONS/ATLAS MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SERVICE.

b. THE INFORMATION PROVIDED BY ATLAS IS FOR INFORMATIONAL PURPOSES ONLY AND IS NOT INTENDED TO BE, AND DOES NOT CONSTITUTE, LEGAL, MEDICAL, FINANCIAL, THERAPEUTIC, OR PROFESSIONAL ADVICE OF ANY KIND. ALWAYS SEEK THE ADVICE OF A QUALIFIED PROFESSIONAL FOR ANY QUESTIONS REGARDING YOUR PARTICULAR CIRCUMSTANCES.

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL SAVVY STRATEGIC SOLUTIONS/ATLAS, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICE, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE SERVICE OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

You agree to defend, indemnify, and hold harmless Savvy Strategic Solutions/Atlas, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service, including, but not limited to, your User Contributions, any use of the Service's content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Service.

All matters relating to the Service and these Terms, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of Michigan without giving effect to any choice or conflict of law provision or rule. Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Service shall be instituted exclusively in the federal courts of the United States or the courts of the State of Michigan, in each case located in any city and county of the State of Michigan, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms in your country of residence or any other relevant country. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

At the sole discretion of Savvy Strategic Solutions/Atlas, it may require you to submit any disputes arising from the use of these Terms or the Service, including disputes arising from or concerning their interpretation, violation, invalidity, non-performance, or termination, to final and binding arbitration under the Rules of Arbitration of the American Arbitration Association applying Michigan law.

ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.

No waiver by Savvy Strategic Solutions/Atlas of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Savvy Strategic Solutions/Atlas to assert a right or provision under these Terms shall not constitute a waiver of such right or provision. If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

The Terms and our Privacy Policy constitute the sole and entire agreement between you and Savvy Strategic Solutions/Atlas regarding the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Service.
